Customer Terms
CarrierHelm is the software product name. “Provider” means the actual person or legal entity identified as the service provider in the signed Order Form; it does not mean an assumed company behind the brand. “Customer” means the carrier identified in that order. A public demo request does not accept these terms.

Version CH-CT-2026-10-26
1. Agreement and activation
These proposed terms and the DPA become part of a customer agreement only when authorized representatives of both parties sign an Order Form that expressly incorporates their version identifiers. Browsing the website, requesting a demo or discussing a pilot does not form a subscription or authorize billing. Required terms must be completed and operational readiness confirmed before customer activation.
2. Required Order Form
Before signing, the parties must agree on each item below. No blank or assumed term is supplied by this website.
- Provider and Customer legal identities, service addresses, notice contacts and authorized signatories.
- Pilot start and end dates, permitted operational use, enabled features, driver seats and staff access.
- Fees or an expressly stated free pilot, currency, taxes, billing schedule, cancellation, refunds and any explicit renewal provision.
- Support contact and hours, response expectations, maintenance, any service levels and the agreed recovery arrangements.
- Data categories, permitted purposes, enabled providers and integrations, confirmed hosting regions, export process and window, deletion and backup schedule, and permitted retention exceptions.
- Agreed warranties, liability allocation and any caps, indemnities, governing law, venue and dispute process.
- The exact Customer Terms and DPA versions, amendments and both parties’ signatures.
3. Service scope and seats
Provider makes only the features, capacity and access stated in the order available for the agreed term. The current review scope centers on loads, dispatch, driver evidence and office completion review. Roadmap items, continuous fleet GPS, ELD/HOS replacement and external accounting integrations are excluded unless expressly agreed and available. Requested driver count is not a price quote or a guarantee of concurrent-user capacity. Driver entitlements and separate office roles must match the approved order.
4. Customer responsibilities and acceptable use
Customer manages authorized users, invitations, permissions and devices; provides accurate information; and ensures it has authority to upload records and give required notices or obtain required consents. Customer must not access other carriers’ records, bypass access controls, share credentials improperly, introduce malicious content or disrupt the service. Customer remains responsible for transportation, operating authority, safety, driver employment, payment, tax and regulatory decisions. CarrierHelm is software, not a carrier, broker, ELD, payroll provider or accounting adviser.
5. Customer Data and product rights
As between the parties, Customer retains its rights in Customer Data. Provider receives only the limited rights needed to host, process, protect and deliver that data for the agreed service and documented instructions. Customer receives a limited right for its authorized users to use the service during the agreed term. No transfer of product, software or brand ownership is implied. Customer Data may not be used for unrelated advertising or model training without a separate lawful and expressly agreed basis.
6. Confidentiality and data protection
Each party must protect the other’s nonpublic information, use it only for the agreement and limit disclosure to people or service providers who need it and are bound by appropriate confidentiality obligations. Lawful compelled disclosures must be limited to what is required, with notice where permitted. Personal-data processing is governed by the DPA. Before sensitive or regulated records are enabled, the order must identify those categories and the protections and provider arrangements required for them.
Review the Data Processing Addendum7. Security, integrations and early-access limits
Provider and Customer must use reasonable measures appropriate to the agreed data and risks, including access controls, secure transport and supported configuration. Customer controls the credentials and permissions for its own connected services. Current provider information is disclosed separately. Early-access validation does not establish uninterrupted service, native app-store readiness, a universal compression result, a backup guarantee or unlimited capacity. Specific service, recovery and incident commitments require agreement and demonstrated readiness.
Review providers and optional integrations8. Fees, cancellation and suspension
Only the signed order establishes charges, due dates, taxes, renewal and refund rights. There is no automatic renewal or charge authorized by this website. The order must specify how either party ends a pilot or subscription and how earned or prepaid fees are handled. Access may be proportionately restricted to address unauthorized use or a material security threat, with notice and a reasonable opportunity to address the issue when practical. Suspension must not be used to evade applicable data-return or privacy obligations.
9. End of service and data handling
Before activation, the parties must establish and verify Customer’s export process, its availability after termination, deletion timing, backup handling and retention exceptions. At termination, Customer may instruct return or deletion of personal data under the DPA. Any legally required retention must be limited, explained and protected. Disabling a user, releasing a driver seat, canceling a plan or rolling back application code is not proof that personal data or external files were deleted.
10. Legal allocation, disputes and changes
Warranties, remedies, liability caps or exclusions, indemnities, governing law and venue must be expressly settled in the signed order or its legal schedule. This review draft does not choose them or waive rights that cannot lawfully be waived. The DPA controls personal-data processing; the signed order controls the agreed commercial scope and any expressly identified amendments. Material changes do not silently alter an existing signed version: the parties must document the applicable amendment or renewal.
11. Review and acceptance record
Before a customer signs, these documents require legal review and the provider’s confirmation that their duties can actually be performed. Both parties should retain the signed order, its incorporated document versions and amendments, signatory authority and acceptance date. No online signature, customer agreement acceptance or account activation occurs on this marketing website. For a copy to review or to discuss an order, contact carrierhelm.admin@gmail.com.
